These Terms & Conditions govern the sale of products by Tizbi Technologies ("Tizbi Technologies," "we," "us," or "our") through tizbitechnologies.com. By placing an order with us you accept the terms in effect at the time your order ships. Tizbi Technologies distributes and resells coatings and related products manufactured by third parties; where a manufacturer's own terms or warranties apply to a product, those terms also apply to your purchase.

1. Prices and terms subject to change

Prices, product availability, and the conditions of sale shown on our website may change at any time without notice. The prices and terms that apply to your order are those in effect on the date the order is shipped, not the date it is placed.

2. Payment terms

Payment is due as stated at checkout or on your invoice. Any cash or promotional discount applies only to the net product amount, after transportation charges and taxes are excluded. Past-due balances may be charged a late fee up to the maximum rate permitted by applicable law.

3. Taxes

Unless prohibited by law, you are responsible for all federal, state, and local sales, use, excise, and similar taxes, as well as any taxes assessed on transportation, that apply to your purchase.

4. Transportation charges

Shipping charges are calculated at checkout. If you request a change to routing or delivery method, or if carrier rates increase after your order is placed, any resulting additional cost is your responsibility.

5. Delivery delays beyond our control

We are not responsible for delays or failures in shipment or delivery caused by events beyond our reasonable control, including natural disasters, severe weather, fire, war, terrorism, embargoes, government action, labor disputes, carrier delays, or shortages of materials, transportation, or supply.

6. Product warranty

Products are covered only by the warranty, if any, offered by their manufacturer, and are otherwise sold "as is." Tizbi Technologies makes no additional warranty of its own and, to the fullest extent permitted by law, disclaims all other warranties, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Any warranty claim is subject to the manufacturer's inspection and approval.

7. Approvals are the buyer's responsibility

Obtaining any approval, permit, or acceptance required from a fire-safety authority, building department, or other regulatory body for the use of a product is solely your responsibility.

8. Application instructions

You are responsible for reading and following the manufacturer's application instructions, technical data sheets, and safety data sheets for each product. Neither Tizbi Technologies nor the manufacturer is responsible for results or damages arising from failure to follow those instructions.

9. Limitation of liability

To the fullest extent permitted by law, Tizbi Technologies is not liable for any direct, indirect, incidental, special, or consequential damages - including damage to property, injury, or loss of life - arising from the use, misuse, storage, or handling of any product purchased through our website.

10. All sales final

All sales are final. Returns are accepted only where our Return Policy allows and, where required, only with our prior written approval. Any claim based on a product defect is subject to inspection and approval by us or the manufacturer. See our Return Policy for details.

11. Credit and non-payment

If your financial responsibility becomes unsatisfactory to us, we may require payment in advance or other security before shipping. If an amount you owe is not paid when due, we may cancel or suspend any unshipped orders.

12. Cancellation of special or custom orders

Orders for special-order, custom, or non-stock items may not be cancellable. If we permit cancellation, you may be charged based on the portion of the order already completed, or for materials and processing costs incurred plus a handling charge.

13. No modification without written approval

These Terms & Conditions may not be changed except by a written agreement signed by an authorized officer of Tizbi Technologies. Our acceptance or shipment of an order does not constitute acceptance of any conflicting or additional terms in your purchase documents.

14. Dispute resolution

Any dispute arising out of or relating to a purchase may be submitted to binding arbitration administered by the American Arbitration Association under its applicable rules. Judgment on the award may be entered in any court of competent jurisdiction.

15. Freeze warning

Some water-based products can be damaged by freezing during transit in cold weather. If a product arrives frozen, contact us on the day of delivery with photographs showing the condition so we can arrange a replacement or refund. We may hold or delay shipments during periods of sustained freezing temperatures to protect the product.

16. Governing law

These Terms & Conditions are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules.
